Assuming the CBA remains the same, Manning cannot be exclusive right-ed due to his time in the league (he's clear of that by about 10 years). They can only franchise him, which would give the Colts 2 1st rounders if some other team stole him away. Also, the Colts would be able to match any offer, but for now the "poison pill" provision remains legal in the NFL so that could theoretically prevent Indy from doing so.

I actually agree with this for the most part. The Pats benefit the most by keeping Manning on a team that, without him, is absolutely atrocious. I honestly would fear what would happen if Manning got himself on a truly talented team.
Bingo. There is no downside for the Colts to make Manning an exclusive rights franchise player. There is very little to no chance that the tag amount will go up because they use the exclusive rights feature.
